Secretarial Audit & Due Diligence Audit

Secretarial Audit is a mechanism to ensure that the company has complied with the legal and procedural requirements and also to ensure that the Board and other processes and compliance mechanisms are robust, on a continuous basis. Secretarial Audit is a part of total compliance management in an organization. The Secretarial Audit is an effective tool for corporate compliance management. It helps to ensure timely corrective measures when non-compliance is detected. 

With effect from 1st April, 2014, under Section 204 of the Companies Act, 2013 and rules made there under, following categories of companies are required to get its secretarial audit conducted by an Independent eligible Professional called- Company Secretary in Whole Time Practice only-
(i)            Every Public Listed Companies, or
(ii)           Every Public Limited Companies having total paid up capital of Rs. 50 Crore or more, or
(iii)          
Every Public Limited Companies having total turnover of Rs.250 Crore or more.
(iv)          Every Company having outstanding loans or borrowings from Bank or Public Financial Institutions of Rs. 100 Crore or more.

  • Conducting Bank Due Diligence Audit and providing diligence report thereon as per RBI's circular No. DBOD NO. BP. BC. 46/08.12.001/2008-09 dated 19.09.2008.
  • Conducting Secretarial Audit/ Share Capital Reconciliation Audit under Depositories Act, and under Regulation 40(9) of SEBI (LODR) Regulations,2015.
  • Certification of Annual Return as per the Companies Act,2013.
  • Certification of Corporate Governance Reports of listed Entities.
  • Secretarial Compliance Report as per SEBI Circular CIR/CFD/CMD127/2019 dated February 8, 2019.
  • Certificate of Non-Disqualification of directors (pursuant to Regulation 34(3) and Schedule V Para C clause 10 (i) of the SEBI Regulations, 2015.
